The mission of the Pri-Med Patient Education Center (PEC) Web site at www.patientedu.org is to offer patients multimedia access to reliable medical information provided by Harvard Medical School, M|C Communications, and Patient Education Center, L.L.C. with the assistance of the Medical Group Management Association® (MGMA), the nation's principal voice for medical group practices. Founded in 1926, MGMA has 19,000 Members who manage and lead 11,500 organizations in which approximately 237,000 physicians practice.

The use of the Pri-Med PEC Web site is governed by the Terms of Use set forth below. Please read them carefully. Your use of the Pri-Med PEC Web site indicates your acceptance of these Terms of Use. Pri-Med PEC reserves the right to make changes to this site and these Terms of Use at any time.

M|C Intermediate, LLC is the parent company of Pri-Med Institute, LLC, Physician’s Weekly, LLC, and Patient Education Center, LLC (collectively “M|C”) and created and supports the Pri-Med website. M|C provides this Web site, located at URL www.pri-med.com, all associated Web pages maintained by M|C and all Pri-Med continuing education and related services (collectively, the “M|C Services”), along with all information and content provided therewith (the “Content”), to you, subject to the terms and conditions contained in this Terms of Use (the “Terms”). M|C Services are intended for medical professionals. However, neither the M|C Services nor any Content available therein should be construed as a replacement for medical education and/or clinical judgment.
 
Please read these Terms carefully. By using M|C Services, you agree to adhere to and be bound by these Terms, as they may be modified from time to time at M|C sole discretion. If you do not agree to be legally bound by these terms, you are not permitted to use M|C Services.
 
Amendments: We reserve the right to amend the Terms at any time and will notify you of any such changes by making the revised Terms available through our Services. Unless otherwise specified, those changes shall be effective immediately. It is your obligation to review changes in these Terms, and you agree that your continued use of M|C Services after the posting of any revised Terms constitutes your agreement to be bound by the revised Terms.
 
Your Access to M|C Services
            Permitted Users: Currently, M|C Services are available for use only by individuals who are 18 years of age or older. You acknowledge and agree that you may not access, attempt to access, or use M|C Services if you are not at least 18 years of age.
 
            Public Areas and the Subscription Service: M|C Services include (i) public areas that are generally accessible to the public and contain information about M|C, Pri-Med and the Pri-Med Services (the “Public Areas”), (ii) a subscription service (the “Subscription Service”) that may only be accessed by registered users (the “Registered Users”). Individuals who desire to become Registered Users in order to gain access to the Subscription Service will be required to select a user identification (“User ID”) and password (the “Password”). Registered Users are solely responsible for all activity occurring through the use of their Password and for keeping their User ID and Password confidential. Registered Users are also responsible for all activity by others to whom such Registered Users have voluntarily disclosed their password. Registered Users shall notify us immediately upon becoming aware of any actual or suspected unauthorized use, unauthorized disclosure, or theft of any User ID or Password. You may not attempt to gain unauthorized access to the Subscription Service.
 
Permitted Use: Subject to the terms and conditions of these Terms, M|C grants you a non-exclusive, personal, non-transferable, non-sub licensable, limited and revocable right to access, use and display the M|C Services and the Content on any computers for your authorized educational use only (the “Permitted Uses”). You agree to use M|C Services and Content only for lawful purposes and for the Permitted Uses. No other use of M|C Services or the Content is authorized. You are prohibited from any use of M|C Services or Content that would constitute an illegal offense, give rise to liability or otherwise violate any applicable laws or regulations or these Terms. Except as otherwise authorized by these Terms or expressly stated on about M|C Services, you may not publicly perform, distribute, publicly display, transmit, publish, participate in the sale or transfer of and/or modify the Content and/or create derivative works based on any Content, in whole or in part. No right, title, or interest in Content is transferred to you as a result of your use of M|C Services.
 
Additional Restrictions: The limited license granted to you pursuant to these Terms does not include any resale or commercial use of M|C Services or the Content; any derivative use of M|C Services or the Content. You may not reproduce, duplicate, copy, sell, resell, modify, reverse engineer, decompile, disassemble or create derivative works of or otherwise exploit for any commercial purpose M|C Services, the Content, or any portion of the foregoing, without M|C express written consent. You may not frame or utilize framing techniques to enclose any trademark, logo, or other proprietary information (including images, text, page layout, or form) of M|C, Pri-Med and M|C affiliates or licensors without M|C express written consent. You may not use any metatags or any other "hidden text" utilizing any of M|C names or trademarks without M|C expresses written consent. Any unauthorized use terminates the permission and/or license granted by us without the need for further action by us.
 
Trademarks: The marks DELIVERING WORLD CLASS MEDICAL EDUCATION, NEURO-PSYCHIATRY UPDATES, PATIENT EDUCATION CENTER, PHYSICIAN’S WEEKLY, PRI-MED, PRIMARY CARE UPDATES, PRI-MED PATIENT EDUCATION CENTER, PRIMED/PRI-MED, PSYCHIATRY WEEKLY, and WOMEN'S HEALTH UPDATES and other marks displayed via the M|C Services are the trademarks and service marks of M|C or its affiliates. Other company, product and service names and logos used and displayed on or within the M|C Services may be trademarks or service marks owned by others. Nothing contained on or within the M|C Services should be construed as granting any license or right to use any of the M|C trademarks or other trademarks displayed on or within the M|C Services without the prior written permission in each instance of M|C and/or the owner(s) of such other trademarks. Without limiting the generality of the foregoing, we prohibit the use of any M|C trademarks as part of a link to or from any Web site unless such a link is approved in advance by us in writing. All claims and disputes arising out of these Terms or M|C Services, other than action for specific performance or injunctive relief brought by M|C, shall be exclusively brought in the federal, state, or local courts located in Boston, MA, USA and, with regard to such claims and disputes, you hereby irrevocably (i) submit to the exercise of personal jurisdiction over you by those courts and (ii) waive any jurisdictional, venue, or inconvenient forum objections to such courts.
 
General Provisions: Failure by M|C, to enforce any provision(s) of these Terms shall not be construed as a waiver of any provision or right. In the event that any portion of these Terms is held to be unenforceable, the unenforceable portion must be construed as nearly as possible to reflect the original intent, the remaining portions remain in full force and effect, and the unenforceable portion remains enforceable in all other contexts and jurisdictions. These Terms constitutes the entire agreement between you and M|C, with respect to the subject matter hereof and supersedes all prior oral or written understandings, communications or agreement not specifically incorporated herein, provided, however, that if you register for and participate in any continuing education programs offered by M|C, additional terms and conditions may apply to such programs. Any claim under these Terms must be brought within one (1) year after the date upon which the cause of action arose.

Welcome to the Web site (the “Site”) of M|C Intermediate, LLC, the parent company of M|C Communications, LLC, Pri-Med Institute, LLC, Physician’s Weekly, LLC and Patient Education Center, LLC (collectively “M|C”). This Site has been created to provide information about M|C and to provide users with the opportunity to learn more about M|C seminars and continuing education courses (the “Activities”) as well as to register for and participate in such Activities (the “Pri-Med Services”). This Privacy Policy sets forth M|C policy with respect to information, including personally identifiable data (“Personal Data”) that is collected from individuals who use the Site and from individuals who otherwise register for and/or participates in the Pri-Med Services.
 
What Information Does M|C Collect
Personal Data That You Provide Through the Site: M|C collects Personal Data from you when you voluntarily choose to provide such information such as when you contact M|C with inquiries, register for access to M|C Activities or Pri-Med Services and/or use certain Pri-Med Services. Wherever M|C collects Personal Data M|C makes an effort to provide a link to this Privacy Policy or, where the Personal Data is collected in person, via mail or via the telephone, M|C will endeavor to provide you with a copy of this Privacy Policy. M|C may rely upon third party service providers to collect and process your registration for Activities and other Pri-Med Services. These service providers are instructed that they may use your Personal Data only as specified by M|C Privacy Policy.
By voluntarily providing M|C with Personal Data, you are consenting to M|C use of it in accordance with this Privacy Policy. If you provide Personal Data to this Site, you acknowledge and agree that such Personal Data may be transferred from your current location to the offices and servers of M|C and the authorized third parties referred to herein for the purposes described in this Privacy Policy.
Other Information:
            Non-Identifiable Data: When you interact with M|C through the Site, M|C receives and stores certain personally non-identifiable information. Such information, which is collected passively using various technologies, cannot presently be used to specifically identify you. M|C may store such information itself or it may be included in databases owned and maintained by M|C affiliates, agents or service providers. This Site may use such information and pool it with other information to track, for example, the total number of visitors to the Site, the number of visitors to each page of the Site, and the domain names of M|C visitors' Internet service providers. It is important to note that no Personal Data is available or used in this process. 
            In operating this Site, M|C may use a technology called "cookies." M|C cookies help provide additional functionality to the Site and help M|C analyze Site usage more accurately. This research may be compiled and analyzed on an aggregate basis, and M|C may share this aggregated data with M|C affiliates, agents and business partners. When M|C shares this information in aggregate form, it does not identify you personally.   M|C may also disclose aggregated user statistics in order to describe M|C services to current and prospective business partners and to other third parties for other lawful purposes.
What Are Your Choices?
You can use the Site without providing any Personal Data however, you may not be able to register for and/or use certain of Pri-Med Services.
How Does M|C Use your Personal Data and Other Information?
M|C uses the Personal Data you provide in a manner that is consistent with this Privacy Policy. If you provide Personal Data for a certain reason, M|C may use the Personal Data in connection with the reason for which it was provided. For instance, if you contact M|C by e-mail, M|C may use the Personal Data you provide to answer your question or resolve your problem. Also, if you provide Personal Data in order to obtain access to Pri-Med Services, M|C will use your Personal Data to provide access to such services.
If you register for and/or attend Activities, M|C will use your Personal Data to provide you with documents and other materials related to such Activities while in attendance at the Activities and M|C may also mail you documents and materials related to such Activities and other products, services and Activities M|C feel may be of interest to you.
 
M|C and M|C affiliates may also use your Personal Data and other personally non-identifiable information collected through the Site to help M|C improve the content and functionality of the Site, to better understand M|C users and to improve the Pri-Med Services. M|C and M|C affiliates may use this information to contact you in the future to tell you about services or products M|C believe will be of interest to you. If M|C does so, each communication M|C sends you will contain instructions permitting you to "opt-out" of receiving future communications. In addition, at any time you wish not to receive any future communications or to have your name deleted from M|C mailing lists please contact M|C as indicated below. Does M|C Share Your Personal Data?
M|C is not in the business of selling your information. M|C considers this information to be a vital part of the relationship with you. There are, however, certain circumstances in which M|C may share your Personal Data with certain third parties without further notice to you, as set forth below:
Business Transfers: As M|C develop M|C business, M|C might sell or buy businesses or assets. In the event of a corporate sale, merger, reorganization, dissolution or similar event, Personal Data may be part of the transferred assets.

Agents, Consultants and Related Third Parties: M|C, like many businesses, sometimes hires other companies to perform certain business-related functions.
